Few US jurisdictions have adopted divisive merger statutes. This presentation will discuss the Delaware statute, the Texas statute, and relevant case law for this rarely-used alternative to asset assignments. It will also discuss practical applications of a divisive merger and key advantages it provides compared to a traditional assignment of assets.
