Focused on transactional matters and related issues affecting the energy industry, especially the unprecedented situation experienced in 2020, this conference brings together clients, attorneys, landmen, and other professionals to learn and discuss important issues, concepts, trends and cases. The faculty features leading energy lawyers from law firms and energy companies, as well as other professionals crucial to energy deals.
Although MCLE credit was previously obtained for this program in at least one jurisdiction (most likely Texas), such credit has expired and not been renewed by The Center for American and International Law. James Arnold is President of JAA Energy Development, a Houston based Oil and Gas Advisory Firm specializing in supporting Midstream and Exploration & Production Companies with business development, marketing, and management of transportation services through daily operations, restructuring, and mergers and acquisitions. Mr. Arnold regularly advises clients on all aspects of the transportation sector including strategic asset development, and negotiations and contracting of midstream services required to produce conventional and unconventional crude, gas, ngls and water. He has extensive experience in commercial and business development roles for marketing and asset management with Midstream and E&P companies including prior positions with BHP, Crestwood Midstream Partners, Enlink Midstream, Texon L.P., and Williams Companies. Mr. Arnold is a native Houstonian and a graduate of the University of Houston.
Fernando was born in Venezuela and obtained his law degree from the Catholic University Andres Bello in Caracas, with post-graduate studies in Tax Law from the Central University of Venezuela and a LLM from Boston University. Fernando began his professional career in the early 90s as a clerk in the Deputy Attorney General Office in Venezuela. He worked for a brief period in the newly formed antitrust agency (Pro Competencia) and then moved to work in Maraven (and later PDVSA Petroleo) in the new ventures opportunities promoted by PDVSA (Venezuela NOC) to develop vertically integrated projects to exploit the extra heavy oil reserves of the so call Orinoco Oil Belt in the eastern region of the country. Fernando also worked in new ventures projects to develop refinery joint ventures with local and foreign partners in the Paraguana Complex Refinery in the northwest region of the country. Fernando moved to the private oil and gas sector in 1999, when he was appointed Legal Manager in Sincor, a joint venture company formed by Total, PDVSA and Statoil (now Equinor) and later in 2003 moved to ConocoPhillips as a Legal Manager for the Venezuelan and LATAM assets operation. Fernando is currently Senior Legal Counsel for ConocoPhillips working for new ventures opportunities around the globe.
Marcella Burke leads King & Spalding’s energy transition initiative and our offshore decommissioning practice. Marcella joins King & Spalding’s from the U.S. Department of Interior where she managed the offshore and onshore decommissioning litigation and regulatory docket. She served as Deputy Solicitor for Energy and Natural Resources, and Senior Counselor to the Assistant Secretary for Land and Minerals Management. Her clients were BOEM, BSEE, BLM, and OSMRE. She served as Counsel to the Royalty Policy Committee, on the Regulatory Reform Task Force, and as NEPAteam lead for all energy-related NEPAapprovals. She also served as Deputy General Counsel of the Environmental Protection Agency.
Juan Dominguez is General Manager in the Mergers and Acquisitions team at ArcelorMittal, since 2017. In this position he is involved in the execution of strategic M&A deals for the company across all geographies. Juan started his career as an equity research analyst in Mexico City, following his career in New York and California with international investment banks and private equity firms. In 2004 he joined Rothschild, firstly as an assistant manager in M&A and Financial Restructuring in Mexico City and from 2006 as an Assistant Director in its Metals and Mining team in London. In 2010 Juan joined Société Générale and performed a central role in building the bank’s Metals and Mining presence in London, including launching the bank’s client coverage for this sector in Canada. From 2014 onwards he headed the Metals and Mining M&A activities for Société Générale in China and the Asia Pacific region being based in Hong Kong.
Rodrigo Dominguez is a partner in White & Case's Mergers & Acquisitions Practice based in the Houston office, and a member of the Latin America Interest Group. Rodrigo has 20 years of experience representing U.S. and foreign clients in domestic and international mergers and acquisitions, joint ventures and strategic alliances, and corporate matters in regulated and non-regulated industries throughout the Americas. He also counsels on real estate matters involving traditional land acquisitions, complex long-term lease structures and large-scale project development. On the energy front, Rodrigo has represented developers, sponsors, multinationals, and financial and strategic investors in ground-breaking transactions in the oil & gas and power sectors throughout Latin America.
Colin is Chairman of Commodities in the advisory practice at Tudor, Pickering, Holt & Co. He and his team provide analysis and advice on global markets to corporate clients across the full energy value chain. Previously, Colin was the managing partner of Blacklight Research LLC and co-chair of the Advisory Council for the J.P. Morgan Center for Commodities at the University of Colorado Denver, Curium Capital Advisors LLC, and the managing director responsible for commodities and cyclical industries at Duquesne Capital Management LLC, Stanley Druckenmiller’s hedge fund. Colin is also a former Chief Intelligence Officer of Ospraie Management LP, at that time the world’s largest commodity hedge fund by AUM. He began his markets career at Goldman, Sachs & Co., where for seven years he helped build the Commodities Research franchise.
Andrew Gratz serves as an Associate General Counsel for LyondellBasell, a $25 billion publicly traded company, with over 19,000 employees located across 32 countries. In this role, Mr. Gratz manages the legal team responsible for supporting LyondellBasell’s global mergers, acquisitions, divestitures, and other strategic transactions, including its $2.25 billion acquisition of A. Schulman Inc., commercial activities ($20+ billion revenue) and capital projects in the Americas, and global government relations and public affairs groups. Before assuming his current position, Mr. Gratz held numerous roles at LyondellBasell, including Lead Compliance Counsel, where he managed the company’s global anti-corruption, antitrust, and data privacy compliance programs.
Jorge is an oil and gas attorney who represents private and public exploration adn production (E&P) and midstream companies throughout the United States. He is certified in Oil, Gas and Mineral Law by the Texas Board of Legal Specialization. Prior to becoming an attorney, he had an 11-year career in corporate and investment banking. This combination of legal and business experience allows Jorge to counsel clients on a broad set of issues affecting shareholder value.
Peter Hays is a commercial oil and gas lawyer. He represents companies and entrepreneurs in upstream, midstream, and downstream hydrocarbons transactions, including mergers and acquisitions, joint ventures and project development. Pete practices both domestically and internationally, onshore and offshore. He is board certified in Oil, Gas and Mineral Law by the Texas Board of Legal Specialization.
Susan K. Hellinger serves as senior counsel in Chevron's Upstream North America Litigation Management, managing a variety of North American litigation with a focus on West Texas. Prior to joining Chevron in January 2018, Ms. Hellinger was a litigation partner at Porter Hedges LLP in Houston. At Porter Hedges, Ms. Hellinger's practice encompassed a wide range of civil litigation, including contract disputes, products liability cases, energy-related disputes, and lawsuits involving claims of fraud, breach of fiduciary duty, and antitrust violations. Ms. Hellinger has a B.A. from Trinity University (magna cum laude) and a J.D. from the University of Texas School of Law (with honors).
Giji John is a partner in the Houston office, and spends his time working on industry-leading renewable energy deals. He has led development and financing transactions for wind, solar and energy storage transactions since the earlier days of the renewable energy industry in 2008, representing almost $10 billion of capital investment. Since 2012, Giji has worked both for, and across from, large corporate and industrials- such as Amazon, Bloomberg, Chevron, Facebook, General Motors, Microsoft, and Nestle- in securing multi-million dollar renewable energy deals to achieve their sustainability goals. In 2019, Giji represented Microsoft in rolling out new risk mitigation instruments that allow corporates to significantly reduce the risk of carrying these transactions while continuing on their carbon reduction path. This deal won the Financial Times “Enabling Business Growth and Transformation Award,” and Giji was commended by FT for his leadership of that deal. In addition to the FT commendation, Giji was included as one of 100 worldwide lawyers in A Word About Wind’s Legal Power List 2020 and has been repeatedly recognized as a leading practitioner in the areas of Project Finance and Renewable Energy by Chambers USA/Global, The Legal 500, Law 360 and Public Utilities Fortnightly.
Jared Johnson is Senior Counsel, Downstream, Chemicals & Midstream Law at Chevron. Since 2014 he has advised Chevron on electric power matters for its North American operations. He has counseled the Chevron Pipeline & Power business unit on power sales and steam transactions from cogeneration units, resource adequacy sales in California, federal and state regulatory and compliance matters. He has also negotiated retail power supply purchases for Chevron’s refineries and its ERCOT power supply for upstream operations. He routinely advises on rate case strategy in a variety of state PUCs and on power legislative developments. Since 2019, Mr. Johnson has advised Chevron on its renewable power strategy to integrate renewable power into its upstream and downstream operations, including through the development of new renewable power facilities and purchase agreements.
Mr. Johnson has recently transitioned to supporting Chevron New Energies, where he will counsel on a variety of matters relating to Chevron’s development of new energy businesses, including carbon offsets and hydrogen.
Prior to joining Chevron in 2014, he was a member of the Energy Regulatory and Markets practice group at Latham & Watkins LLP, representing clients in regulatory proceedings before the FERC and several state utility commissions, as well as in project development and financing transactions.
He is a graduate of Gonzaga University and Georgetown Law School.
Jeremy focuses his practice on upstream, midstream and downstream transactions in the domestic and international energy sectors. His clients include oil and gas producers, operators, petrochemical manufacturers, oil field services companies and financing parties in the energy industry. Jeremy concentrates particularly on the structuring, documentation and negotiation of oil, gas and petrochemical transactions including, acquisitions, divestitures, joint ventures, project development and financing.
Rachel Le is Assistant General Counsel at Occidental Petroleum Corporation (OXY). In this role, she serves as co-head of the domestic oil and gas legal team supporting OXY’s upstream operations in the Permian, Rockies, and Gulf of Mexico. Prior to joining OXY in 2014, Rachel was an Associate at Morgan, Lewis & Bockius and Baker Botts L.L.P. Rachel holds a Bachelor of Arts degree from The University of Texas at Austin and a Juris Doctor degree from The University of Houston Law Center.
Luckey McDowell is a Team Leader of the Financial Restructuring & Insolvency practice. With particularly deep experience representing energy sector clients, he focuses on capital restructuring for highly leveraged companies, out-of-court workouts, insolvency-specific guidance to boards, and all aspects of bankruptcy cases throughout the country. He also has extensive experience representing buy-side clients negotiating with financially distressed companies. Within the energy industry, his clients include companies involved conventional and renewable power generation, as well as oil and gas exploration and production and oilfield services.
Allison is a trial attorney who maintains a general commercial litigation practice, representing entities and individuals in a variety of civil litigation matters. Her practice also encompasses appellate work and representation of attorneys in State Bar grievance proceedings.
Christopher Moore is Executive Vice President of Business Development and Land and joined PO&G in September 2008. Chris manages the A&D process including target sourcing, evaluation, and due diligence. He also oversees the firm’s budgeting and investment evaluation processes. He is responsible for the development of cash flow forecasts and budgets based on a detailed analysis of asset level production and costs. Chris manages regulatory and health, safety, and environmental (“HSE”) compliance; lease operating expense optimization; development project planning; and capital budgeting.
Jason Newman is skilled in oil and gas litigation and energy dispute resolution with a focus on cutting edge legal issues implicated by the horizontal drilling revolution. Jason represents and advises energy clients on legal issues and disputes arising from horizontal development in all parts of Texas and throughout the U.S., including New Mexico, Pennsylvania and West Virginia. Jason's experience includes representing clients in lease termination claims, royalty litigation, litigation over railcars used to transport crude oil, and disputes arising from joint operating and joint development agreements, midstream agreements, surface use, and title issues.
After unprecedented industry disruption, producers and lenders need to be flexible and pragmatic in managing price risk going forward. This session will discuss how producers and lenders assess commodity price risk in a volatile market, how they balance competing interests, and strategies that can be used to manage the risk.

Shalini Ramanathan is Director of Origination at Quinbrook Infrastructure Partners, a specialist investment manager focused exclusively on lower carbon and renewable energy infrastructure investment and operational asset management. Quinbrook's founders have been investing in renewable energy infrastructure since the late 1990s.
Gabriel Salinas is the General Counsel and Chief Compliance Officer of Avant Energy, a Riverstone Holdings LLC portfolio company, focused on the development of energy midstream and power projects. Prior to Avant Energy, Gabriel was a partner at Orrick, Herrington & Sutcliffe LLP. Gabriel has extensive experience in cross-border M&A and projects in the energy and infrastructure sectors. Dual- licensed in New York. and Mexico, Gabriel has a J.D. degree from the Facultad Libre de Derecho de Monterrey and an LL.M degree from Harvard Law School.
Laith Sando is Vice President - Investor Relations at Range Resources Corporation, a leading natural gas and NGL producer with operations focused in Appalachia. Mr. Sando’s key responsibilities include managing the company’s relationships with investment analysts and investors and the Company’s hedging program. Mr. Sando serves on the internal hedging committee and as is responsible for the execution of Range’s commodity hedging program. He also serves on the Company’s risk management committee. Laith also has an integral role in Range's financial reporting activities, sustainability reporting, annual stockholder outreach and proxy process. Prior to appointment to his current role, Mr. Sando held various accounting positions at Range, joining the Company in 2002.
Mr. Savage is the Assistant General Counsel of Carnelian Energy Capital Management, L.P., an investment firm based in Houston, Texas that focuses on investment opportunities in the North American energy space. Prior to joining Carnelian, Mr. Savage was an associate attorney in the Houston office of Gibson, Dunn & Crutcher LLP, an international law firm. While at Gibson Dunn, Mr. Savage represented oil and gas exploration and production companies, midstream companies, private equity sponsors and other financial institutions in corporate and transactional matters, with a particular focus on mergers, acquisitions, divestitures and joint ventures. Mr. Savage received a B.A. in Government from The University of Texas at Austin and a J.D., cum laude, from The University of Houston Law Center.
Atman Shukla's practice focuses on mergers and acquisitions and investment transactions (including joint ventures) for clients in the energy and infrastructure space, including renewables, upstream, oilfield services, midstream, and downstream, including power, refining and trading. Atman’s practice has a particular focus on private equity clients, and also encompasses portfolio company management and corporate governance matters. Atman’s practice also includes aviation matters, particularly in the regional airline space, and he has also advised start-ups and emerging ventures through Sidley’s Emerging Enterprises Pro Bono Program.
As a member of Mercatus Energy’s leadership team, Steve leans on more than 15 years of experience to advise clients on energy trading, risk, investment, and strategy. Steve developed a unique, perspective on markets through a collection of experiences including as founder of startup trading shops, as a member of Bank of Oklahoma’s hedge execution team, as an intern at J. Aaron (Goldman Sachs), and as a consultant at the global research and consulting firm, Wood Mackenzie. He uses this perspective as a platform to help clients make better decisions.
Justin T. Stolte is a partner in the Houston office of Latham & Watkins and serves as Global Chair of the firm’s Energy & Infrastructure Industry Group. Mr. Stolte advises clients on strategic transactions across the energy sector, with a focus on mergers, acquisitions and divestitures, and joint ventures.
Mr. Sullivan joined Diversified as Executive Vice President & General Counsel in 2019 with oversight of the company’s legal, land/real estate, and governmental affairs functions and works with the CEO and board on governance matters. He is a member of the leadership and Board of Directors of several commerce, legal, and industry groups, and has considerable experience in corporate governance and reporting / ESG, complex commercial transactions, land/real estate, acquisitions & divestitures, financing, government investigations, and corporate workouts and restructurings.
Mr. Taylor has been an attorney for 34 years, the past 23 in energy. His experience is across the energy spectrum including power, gas, NGLs, oil and gas and renewables. Doug came to Houston to work for Twin Eagle Resource Management, where he served as SVP – Deputy General Counsel. He helped lead Twin Eagle to close on 28 M&A and joint venture transactions in 8 years. In February, Twin Eagle sold its NGL marketing business to a new subsidiary of Phoenix Park Gas Processors Limited. Doug went with the business and now serves as Chief Legal Officer of Phoenix Park Global Energy Holdings LLC, as they look to grow their NGL business across North America.
